Supplier Code of Conduct
Purpose
FrankieOne is dedicated to upholding ethical, sustainable, and socially responsible procurement practices, and we hold our suppliers to the same elevated standards. We consider our suppliers as integral partners, and we prioritise ethical business conduct in all aspects of goods and services provision.
The Supplier Code of Conduct (the "Code") outlines the minimum expectations across various domains including integrity, ethics, corporate governance, labour and human rights, health and safety, and environmental management. FrankieOne requires its suppliers to review and ensure compliance with this Code across their business and supply chain operations.
Application of this Code
FrankieOne collaborates with suppliers to not only meet but exceed the standards set forth in this Code, continually striving for enhanced business practices. For the purpose of this Code, a supplier refers to any entity supplying goods or services to FrankieOne. Additionally, the term "workers" encompasses employees, contractors, agency staff, and temporary personnel of the supplier and its affiliated entities. Compliance with all pertinent laws, rules, and regulations in the jurisdictions where business is conducted is fundamental to this Code.
The expectations delineated in the Code do not seek to supersede or modify the supplier's existing regulatory and contractual obligations. Both existing and new suppliers are expected to adhere to this Code. Suppliers are advised to review their contracts, agreements, and purchase orders as they may entail additional obligations or higher standards beyond those articulated in this Code.
FrankieOne expects suppliers to disseminate the Code to their related entities, suppliers, and subcontractors involved in supplying goods and services to FrankieOne, ensuring awareness, understanding, and adherence to the Code.
Suppliers must promptly report any deviations or breaches of their obligations under this Code by another supplier to FrankieOne's legal team via legal@frankieone.com.
Corrective Action Process
Suppliers are responsible for self-assessing their compliance with the Code and promptly addressing any deficiencies or breaches identified through audits, assessments, inspections, investigations, or reviews. Suppliers are encouraged to engage with their respective contacts at FrankieOne to discuss concerns and seek clarification on any elements of the Code. Upon request, suppliers must furnish evidence and confirmation of their compliance with the Code, including relevant documents and records. Suppliers are expected to collaborate with FrankieOne in reviewing compliance with the Code.

- Minimum Ethical Standards for Suppliers
1.1. Integrity, Ethics, and Conduct
FrankieOne upholds high standards of ethical conduct and expects suppliers to comply with all applicable laws in their business endeavors, including sourcing, operations, and relationships.
1.2. Business Integrity
Suppliers must adhere to all anti-bribery, anti-corruption, anti-money laundering, and modern slavery laws, refraining from engaging in any fraudulent, corrupt, exploitative, or collusive activities.
1.3. Record Keeping and Documentation
Suppliers are required to maintain accurate records that transparently document all financial transactions and pertinent information regarding their business activities, labour practices, health and safety protocols, and environmental initiatives, in accordance with applicable laws, policies, and procedures. Disclosure of information must be conducted without falsification or misrepresentation.
1.4. Professional Conduct
Suppliers must conduct their affairs in a fair, professional manner that upholds the reputation of FrankieOne.
1.5. Confidentiality
Suppliers are prohibited from improperly utilising any private, confidential, or commercially sensitive information in their possession concerning their dealings with FrankieOne.

Conflict of Interest; Gifts, Benefits, and Hospitality
FrankieOne promotes impartiality in all business activities and expects suppliers to promptly disclose and manage any conflicts of interest.
2.1. Conflict of Interest
Suppliers are required to disclose to their relevant FrankieOne contact any actual, potential, or perceived conflicts of interest arising from their dealings with FrankieOne and to abstain from financial, business, or other relationships that may compromise their duties under their agreement with FrankieOne. Unavoidable conflicts of interest are to be declared and managed appropriately.
2.2. Gifts, Benefits, and Hospitality
Suppliers must conduct themselves with utmost integrity, impartiality, and accountability, performing their duties without favouritism, bias, or personal gain. Offers of gifts or benefits to FrankieOne personnel are prohibited, and hospitality offers should be limited to basic courtesies.
3. Corporate Governance
Effective management, administration, risk assessment, and corrective action systems are essential for a robust supply chain serving FrankieOne. Suppliers are expected to uphold sound governance practices.
3.1. Risk Assessment and Management
Suppliers should establish and maintain processes to identify, manage, and mitigate relevant risks associated with their operations, including those related to the supply chain, labour and human rights, health and safety, environment, business ethics, and corporate governance.
3.2. Critical Incident Management
Suppliers are required to identify and assess potential critical incidents, emergency situations, and business continuity risks, developing and implementing response procedures that prioritise life, environmental protection, and property preservation while minimising business disruption.
3.3. Audits and Assessments
To ensure compliance with this Code and applicable laws, suppliers must periodically evaluate their facilities and operations, as well as those of their subcontractors, and cooperate transparently with any audits, assessments, or reviews conducted by FrankieOne.
4. Labour and Human Rights
FrankieOne advocates for the dignified treatment of all workers in its supply chain and expects suppliers to provide fair and ethical workplaces adhering to high human rights standards.
4.1. Anti-Discrimination
Suppliers must refrain from discriminating against any worker based on protected characteristics, including but not limited to age, disability, ethnicity, gender, marital status, political affiliation, race, religion, sexual orientation, gender identity, union membership, or any other status protected by law, in hiring and employment practices.
4.2. Anti-Harassment
Suppliers are obligated to maintain workplaces free from bullying, harassment, victimization, and abuse, ensuring workers are not subjected to unlawful or inhumane treatment, whether verbal, physical, sexual, or psychological.
4.3. Human Rights
Suppliers are expected to deliver goods and services in alignment with applicable human rights obligations, proactively identifying, addressing, and reporting on risks of modern slavery practices within their operations and supply chains, as required by relevant legislation.
4.4. Prevention of Involuntary and Underage Labour
Suppliers must ensure that work is performed without coercion, refrain from using forced or bonded labour, and employ only workers who meet the minimum legal age requirements. Temporary and outsourced labour arrangements must comply with applicable laws, with suppliers responsible for ensuring compliance of third-party recruitment agencies.
4.5. Working Hours, Wages, and Benefits
Suppliers are obligated to comply with all relevant laws and regulations regarding wages, working hours, and workers' compensation, ensuring workers receive mandated minimum wages, benefits, leave entitlements, and timely payment of wages in accordance with the law, without resorting to wage deductions as a disciplinary measure. Overtime should be reasonable and compensated in accordance with applicable laws.
4.6. Freedom of Association and Collective Bargaining
Suppliers are expected to allow workers the freedom to associate, join industrial organisations, or engage in lawful industrial activities without interference, discrimination, retaliation, or harassment.

Health and Safety
Worker health, safety, and well-being are paramount to FrankieOne, and suppliers are expected to provide safe and healthy work environments, integrating robust health and safety practices into their operations.
5.1. Workplace Health and Safety Management
Suppliers must comply with all relevant laws pertaining to workplace health and safety, identifying and managing occupational hazards, and providing workers with job-related training and necessary information.

Environmental Management
FrankieOne is committed to environmental stewardship, and suppliers are expected to minimize the environmental impact of their operations through responsible policies and practices.
6.1. Environmental Impacts
Suppliers must adhere to all applicable environmental laws and regulations, including management and reporting obligations, managing the environmental impact of their operations by safely storing, transporting, and disposing of hazardous substances, conserving energy and natural resources, and implementing pollution reduction measures.
By adhering to these principles outlined in the Supplier Code of Conduct, suppliers demonstrate their commitment to ethical, sustainable, and socially responsible business practices, contributing to the shared goals of FrankieOne and its stakeholders.
